These Terms apply alongside any engagement agreement signed with Claiven. In the event of a conflict between these Terms and a written engagement agreement, the engagement agreement takes precedence with respect to the specific matter covered therein.
3. Description of Services
Claiven offers legal advisory and representation services in Malaysia, currently focusing on:
- Maritime and Shipping Law — including vessel registration, port authority compliance, cargo disputes, and maritime insurance matters under Malaysian maritime legislation.
- Data Privacy Compliance — advisory services under the Personal Data Protection Act 2010, including gap analysis, policy drafting, and breach response planning.
- Franchise Law Counsel — legal support for franchisors and franchisees under the Franchise Act 1998, including registration, disclosure documentation, and agreement review.
The scope of each engagement is defined in a written engagement letter. Claiven reserves the right to decline any matter at its professional discretion, without being obliged to provide a reason.

Fees for Claiven's services are set out in the relevant engagement letter. Indicative pricing published on our website represents a starting reference and the final scope and fee will be agreed in writing before work commences.
- All fees are quoted in Malaysian Ringgit (MYR) unless otherwise stated
- Payment terms are specified in the engagement letter (typically 14–30 days from invoice date)
- Disbursements (such as court fees, registration charges, and third-party costs) are billed separately
- Claiven reserves the right to pause work where invoices remain outstanding beyond agreed terms
- Refunds, where applicable, are subject to the terms of the individual engagement agreement
8. Professional Confidentiality
Claiven maintains strict professional confidentiality obligations under Malaysian Bar Council rules and applicable law. Information shared with us in connection with a client matter will not be disclosed to third parties without your consent, except where required by law, court order, or our regulatory obligations. This obligation continues after the conclusion of any engagement.
9. Disclaimers
The Website is provided on an "as available" basis. While we make reasonable efforts to keep information current and accurate, we do not warrant that:
- The Website will be uninterrupted, error-free, or free of technical issues
- Information on the Website reflects the most recent legal developments at all times
- Results described in service descriptions will be achievable in every individual matter
Legal outcomes depend on facts, evidence, and applicable law at the time of each matter, and cannot be determined in advance.
10. Limitation of Liability
To the extent permitted by Malaysian law, Claiven's liability for any claim arising out of your use of the Website (as distinct from a signed engagement) is limited to direct damages only. We shall not be liable for:
- Indirect, consequential, or special damages arising from Website use
- Loss of data, business opportunity, or revenue arising from reliance on Website content
- Errors or omissions in Content that has not been specifically prepared for your matter
Liability arising from a specific client engagement is governed solely by the terms of the engagement letter and applicable professional indemnity provisions.
11. Termination of Engagement
Either party may terminate a client engagement in accordance with the terms of the engagement letter. Claiven may also withdraw from a matter where:
- A conflict of interest arises that cannot be managed appropriately
- Client instructions place Claiven in breach of professional rules or applicable law
- Payment obligations remain unmet after reasonable notice
- Communication has broken down to an extent that makes continued representation impractical
Upon termination, fees for work completed to date remain payable. Client documents and materials will be returned or transferred in accordance with Malaysian Bar Council guidelines.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms or the use of the Website shall be subject to the exclusive jurisdiction of the courts of Malaysia.
In the event of a dispute relating to a client engagement, the parties agree to first attempt resolution through good-faith discussion. If unresolved, the matter may be referred to mediation before proceeding to formal litigation.
13. General Provisions
- Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties regarding Website use and service delivery.
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full effect.
- No Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
- Assignment: You may not assign your rights under these Terms without Claiven's prior written consent. Claiven may assign in connection with a firm restructuring.
- Notices: Formal notices under these Terms should be directed to the contact address below.
14. Changes to These Terms
We may update these Terms from time to time. The updated version will be published on this page with a revised effective date. Your continued use of the Website after the updated Terms are published constitutes your acceptance of the changes.
